Agreement to Terms

By accessing or using Closebolt's website and mobile application (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

Description of Service

Closebolt provides a customer relationship management (CRM) platform designed for field sales teams. The Service includes mobile and web applications that enable users to manage contacts, track sales activities, log calls, record field visits, and manage sales pipelines.

Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

Subscription and Payment

Free Trial

We offer a 14-day free trial. No credit card is required to start a trial. At the end of the trial period, you must subscribe to a paid plan to continue using premium features.

Paid Subscriptions

• Subscriptions are billed in advance on a monthly or annual basis
• Prices are subject to change with 30 days notice
• You are responsible for all applicable taxes
• Refunds are available within 30 days of initial purchase

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until that time.

Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Violate any applicable laws or regulations
• Infringe on the rights of others
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to the Service
• Interfere with the proper functioning of the Service
• Use automated systems to access the Service without permission
• Resell or redistribute the Service without authorization

Your Data

Ownership

You retain all rights to the data you upload to the Service ("Your Data"). We do not claim ownership of Your Data.

License

You grant us a limited license to use, store, and process Your Data solely to provide the Service to you.

Export

You may export Your Data at any time. We provide export functionality in standard formats (CSV).

Deletion

Upon account termination, we will delete Your Data within 30 days, unless retention is required by law.

Intellectual Property

The Service, including its original content, features, and functionality, is owned by Closebolt and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service.

Third-Party Services

The Service may integrate with third-party services. Your use of such services is subject to their respective terms and privacy policies. We are not responsible for third-party services.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOSEBOLT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify and hold harmless Closebolt and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

Termination

We may terminate or suspend your account at any time for violation of these Terms. Upon termination:

• Your right to use the Service ceases immediately
• We may delete Your Data after 30 days
• Provisions that should survive termination will remain in effect

Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance.

Governing Law

These Terms are governed by the laws of the State of Oklahoma, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Oklahoma.
